The American legal magazine Best Lawyers has just published, in partnership with the newspaper Les Echos, the new edition of its ranking of the best French lawyers, based on lawyers’ votes.
Noémie de Galembert is ranked “Best Lawyers in France 2023” in the “Litigation” category, confirming the excellence of her practice in this area.
Expertise 1843-4: the Court of Cassation overturns and offers a new remedy
For a long time, the determination of the price of shares by an expert has been a major source of shareholders disputes. The decision issued by the commercial chamber of the Cour de cassation on May 25, 2022 will probably not dry it up. It offers a new possibility of appeal against decisions rejecting the appointment of an expert on the basis of article 1843-4 of the French Civil Code.

The Paris Court of Appeal has definitively validated an investigative measure (“mesures d’instructions in futurum”) (article 145 of the French Civil Code of Procedure) which allowed the seizure of thousands of documents at Total. The documents will therefore soon be released in the litigation on the merits.

Exclusion clauses in “SAS” corporate form since the French law’s Soilihi amendment: a litigation factory?
Since 2019, exclusion clauses can no longer be adopted or modified unanimously but according to the majority rules set forth in the articles of association. This amendment exposes minority shareholders to serious risks that the courts will have to rule on.
